This title is concerned with the law and practice in relation to research and development agreements and transactions.

This new title on Research and Development (R&D) has been introduced in view of the growing importance of this area. R&D agreements are increasingly encountered by commercial lawyers, and are often factually complex.

The parties to such agreements may include academic institutions and others whose priorities are not purely commercial, and this affects the contract terms that are encountered.

The comprehensive commentary examines a range of legal issues that may affect the drafting of an R&D agreement, including intellectual property, confidentiality, competition, regulatory and tax law.

Key drafting, negotiating and practice issues that frequently arise in relation to R&D agreements are also considered.

The precedents include a wide range of R&D, confidentiality, and consultancy agreements, licences, assignments as well as documents and agreements relating to clinical trials, development and commercialisation of intellectual property, and materials transfer. Pre- and post-contractual documents, for example letters of intent and novation and amending agreements are also included.
